These general terms and conditions of sale (hereinafter “GTC”) govern the relationship between Suividechantier.be / Smart World SRL, a consulting, networking, and support service for construction management based in Brussels, and its Clients. These GTC aim to regulate the services provided, protect the parties, and clearly define their rights and obligations.

Preamble and Definitions

Identification of Parties

These GTC apply to the services provided by Suividechantier.be-Smart World srl (hereinafter “the Service Provider”), whose registered office is located in Brussels, Belgium.

The term “Client” refers to any natural or legal person owning real estate property located in Belgium, using the Service Provider’s services.

The terms “Craftsmen” or “Trades” refer to building professionals (contractors, craftsmen, technicians) with whom the Service Provider connects the Client for the execution of the work.

Acceptance of GTC

Any order placed with the Service Provider implies full and complete acceptance of these GTC by the Client. These GTC prevail over any other document or condition from the Client, except with the express written agreement of the Service Provider.

The Service Provider reserves the right to modify these GTC at any time. The applicable GTC are those in effect at the time of signing the quote or contract.

Purpose of the Contract

The services provided by Suividechantier.be – Smart World SRL include:

  • Analysis of the Client’s needs;
  • Personalized advice on the progress of work and steps to follow. Organization of these;
  • Connection with a network of partners (qualified craftsmen);
  • Regular informative follow-up on the progress of work;
  • Administrative and organizational support including contact follow-up, document sharing (quotes, photos, videos, etc.) and regular exchanges with the Client.

The Service Provider acts exclusively as an intermediary, advisor, and facilitator. It does not directly carry out the work, which is executed by independent craftsmen mandated by the Client.

Services Offered

Included Services

The Service Provider commits to providing the following services:

  1. Needs analysis: During an initial exchange (by phone or on-site), the Service Provider identifies the Client’s specific expectations and proposes tailored solutions.
  2. Connection with craftsmen: The Service Provider selects qualified professionals to carry out the work based on their expertise, seriousness, and reliability.
  3. Organization and planning: The Service Provider coordinates schedules between different parties to ensure smooth execution of work within agreed timeframes.
  4. Informative follow-up: The Client regularly receives updates in the form of photos, videos, and detailed reports on the progress of work.

Initial Visit

An initial on-site visit is offered at the rate of 150€ excluding VAT. This visit allows for assessing the project’s feasibility with a trusted craftsman and establishing an initial quote. This amount is deductible if the Client entrusts the complete mission to the Service Provider.

Excluded Services

The Service Provider does not provide:

  1. Direct execution of work: The work is exclusively carried out by craftsmen mandated by the Client.
  2. Responsibility for technical execution: Any issues related to quality or potential defects are solely the responsibility of the craftsmen hired by the Client.
  3. Direct technical intervention: The Service Provider’s role is strictly limited to organization, informative follow-up, and administrative coordination.
  4. Guarantees related to the work: Legal or contractual guarantees (ten-year guarantee, two-year guarantee, etc.) are exclusively the responsibility of the craftsmen who carried out the work.
  5. Any complaints regarding the work should be addressed directly to the contractor or trade concerned.

Rates and Payment Terms

The price of the service includes only the consulting, networking, and support services.

Pricing Structure

  • Small projects (less than €10,000): Hourly billing at the rate of €60/h excluding VAT, based on the time spent on project monitoring and organization.
  • Large projects (more than €10,000): Billing equivalent to 10% excluding VAT of the total amount of invoices issued by the craftsmen commissioned for the project, adjusted in case of changes to the overall budget.

Payment Terms

Payments are made as follows:

Short assignments (less than 2 months):

  • 40% upon signing the quote;
  • 40% at the effective start of the work;
  • 20% upon final acceptance of the work.

Long assignments (more than 2 months):

  • Monthly installment payments based on the estimated duration of the assignment and the actual progress of the work;
  • A precise payment schedule will be communicated to the Client at the beginning of the assignment.

Payments must be made exclusively by bank transfer to the account mentioned in the quote or contract.

Adjustment of Percentage-Based Fees

  • For services billed at 10% of the total amount of craftsmen’s invoices, the Service Provider’s fees will be adjusted in case of changes to the work amount:
  • In case of an increase in craftsmen’s invoices, the fee amount will increase proportionally.
  • In case of a decrease in craftsmen’s invoices, the fee amount will also be adjusted downwards.
  • Any change in the budget or craftsmen’s invoices must be communicated to the Service Provider to recalculate the fees accordingly.

Late or Non-Payment

In case of late payment of an invoice, a fixed penalty equal to 15% of the amount due (minimum €150) will be applied, as well as a minimum annual legal interest rate of 8%. The Service Provider also reserves the right to suspend its services until full regularization.

Partner Network

  • As part of its project missions, Suividechantier.be – Smart World SRL works with a network of trusted partners: tradespeople selected for their work quality, reliability, and ability to collaborate effectively with each other.
  • As a commercial agent for some of these partners, Smart World SRL may receive compensation related to the introduction. This common practice has no impact on the final price paid by the Client and does not in any way compromise Smart World SRL’s independence in its role of project coordination.
  • The objective always remains the same: to defend the Client’s interests, ensure proper execution of the work, and guarantee compliance with budget and deadlines.

Contractual Responsibility

Contracts for the execution of work are concluded directly between the Client and the selected craftsmen. The Service Provider is not a party to these contracts and cannot be held responsible for:

  • Delays in execution;
  • The quality or technical conformity of the work carried out;
  • Hidden defects or faults noticed after acceptance.

Responsibilities and Limitations

Service Provider’s Obligations

The Service Provider commits to implement all necessary means to ensure a professional service in line with the Client’s reasonable expectations, but is only bound by an obligation of means and not of results.

Limitation of Liability

The Service Provider’s liability is strictly limited to direct damages proven to result from gross negligence in the execution of its contractual obligations. In any case, it is capped at the total amount of fees received for the mission in question.

  • The Service Provider cannot be held responsible for:
  • Delays or defects attributable to craftsmen commissioned by the Client;
  • Any indirect damage suffered by the Client (financial loss, loss of use, etc.);
  • Technical problems related to materials or methods used by the craftsmen.

Duration and Termination

Contract Duration

The contract takes effect upon written acceptance of the quote and remains valid until the complete completion of the agreed services.

Early Termination

In case of early termination by the Client without fault attributable to the Service Provider:

  • The deposits already paid will remain acquired by the Service Provider;
  • A compensation equivalent to 30% of the remaining balance will be invoiced.

In case of serious breach by one party of its contractual obligations, the other party may terminate the contract after formal notice has remained ineffective for a reasonable period (15 days).

Client’s Obligations

  • The Client agrees to provide the Service Provider with all necessary information for the proper execution of the mission, particularly the contact details of the contractors and tradespeople mandated.
  • The Client remains responsible for final decisions regarding material choices, budget adjustments, or modifications requested during the construction.

Force Majeure

Neither party shall be held liable in case of non-performance due to an unforeseeable event beyond its reasonable control (force majeure). These events include, but are not limited to: natural disasters, general strikes affecting the professional bodies concerned, pandemics
or other unforeseen events preventing the normal execution of contractual obligations.

Applicable Law and Jurisdiction

These Terms and Conditions are governed by Belgian law. Any dispute relating to their interpretation or execution will be submitted exclusively to the competent courts located in the judicial district of Brussels.

Miscellaneous Provisions

Protection of Personal Data

The Service Provider agrees to strictly respect the confidentiality of personal information communicated by the Client in accordance with the General Data Protection Regulation (GDPR).

Partial Invalidity

If any provision of these Terms and Conditions is deemed invalid or unenforceable, this shall not affect the validity or enforceability of the other provisions which shall remain in full force and effect.
